This Terms and Conditions Agreement (“Agreement”) is entered into by and between , referred to herein as the “Podcast Network,” and the individual or entity submitting AI-generated music, referred to herein as the “Submitter.” By submitting AI-generated music to the Podcast Network’s Podsafe VerseCove, the Submitter acknowledges that they have read, understood, and agree to be legally bound by this Agreement.

1. Purpose of the Podsafe VerseCove

The Podsafe VerseCove is a platform designed to make AI-generated music available to podcasters for potential inclusion in podcast episodes without licensing fees or royalty payments, and the Podcast Network operates solely as a platform and facilitator and does not act as a publisher, record label, manager, agent, distributor, or rights administrator of any submitted music.

1A. AI Podcast Network Marketing Platform

The AI Podcast Network and Podsafe VerseCove operate as a marketing and promotional network for music that may be created with artificial intelligence, assisted by artificial intelligence, or created through a hybrid process involving both AI tools and traditional human musicianship, production, performance, songwriting, or promotion. The platform is intended to provide visibility, listing pages, promotional placement, and public links for artists and songs, but it is not a distributor, record label, streaming service, playlist owner, talent agency, management company, music publisher, or royalty collection service.

The Submitter understands and agrees that the Podcast Network is a promotional and informational platform only. Any listing, artist profile, song page, image, link, button, directory placement, badge, genre page, paid plan, feature, email mention, social mention, or other promotional display exists only as a way to help visitors discover the Submitter's music and related links. The Podcast Network does not represent that any specific person, podcaster, fan, business, influencer, streaming service, playlist curator, media company, or platform will view, click, save, download, review, play, license, follow, subscribe to, or otherwise engage with any submission.

The Submitter further understands that the AI Podcast Network may promote music created by many different methods, including fully AI-generated music, AI-assisted music, human-created music with AI production tools, music containing traditional vocals or instruments, music created through generative platforms, and music that combines artificial intelligence with traditional songwriting, recording, engineering, mastering, or marketing. The inclusion of a song or artist in the network does not mean the Podcast Network has verified the exact creative process used to make the music, and the Submitter remains solely responsible for accurately describing the music and ensuring that all rights, permissions, and disclosures are proper.

1B. Streaming Platform Promotion Disclaimer

The Submitter understands that the platform may promote music links, artist profiles, streaming links, social links, and related song information, including links to Spotify, Apple Music, Suno, YouTube, TikTok, Instagram, Facebook, or other third-party platforms when provided by the Submitter. The Podcast Network does not guarantee plays, downloads, streams, podcast placements, playlist placements, playlist promotions, monthly listeners, social media followers, likes, comments, shares, revenue, sales, fan growth, chart positions, press coverage, influencer exposure, or any other measurable result. The platform is strictly for promoting music, giving artists exposure, and making submitted links and artist information more available to the public, podcasters, music fans, and other visitors.

The Submitter acknowledges that streaming platforms, social platforms, video platforms, search engines, podcast platforms, and artificial intelligence platforms are owned and operated by third parties outside of the Podcast Network's control. The Podcast Network cannot control how Spotify, Apple Music, YouTube, TikTok, Instagram, Facebook, Suno, SoundCloud, Amazon Music, Pandora, Deezer, or any other third party ranks, displays, recommends, monetizes, removes, restricts, or distributes content. The Podcast Network cannot guarantee that any link will remain active, that any platform will continue to support the same format or URL structure, or that any platform will accept, display, monetize, or promote the Submitter's music.

Any examples, testimonials, screenshots, directory placements, traffic references, artist results, or promotional descriptions shown on the website are illustrative only and do not create any promise that the Submitter will receive the same or similar outcome. Results may vary widely depending on music quality, metadata, artist brand, genre, timing, visitor interest, platform changes, search engine behavior, paid-plan status, and many other factors that are outside the Podcast Network's control.

1D. Service Provided As Is and Promotional Discretion

The Submitter expressly understands, acknowledges, and agrees that VerseCove is a service provided on an "as is," "as available," and "with all faults" basis, without any express, implied, statutory, oral, written, or collateral warranty of any kind except where such disclaimer is prohibited by applicable law. The Podcast Network makes no representation or warranty that the service will operate uninterrupted, error-free, permanently, securely, profitably, or in any particular manner, and the Submitter accepts the service as it exists at the time of use and as it may be modified, limited, expanded, reduced, interrupted, redesigned, reclassified, reorganized, reprioritized, or discontinued in the future. The Submitter agrees that participation in VerseCove is voluntary, that promotional value is inherently uncertain, and that no statement on the website shall be interpreted as a promise of a specific audience, result, ranking, listing duration, traffic level, click level, commercial outcome, or measurable promotional benefit.

The Podcast Network reserves the broad, exclusive, and discretionary right to promote AI music, AI-assisted music, hybrid AI and traditional music, artist profiles, MP3 files, audio previews, streaming platform links, artist pages, profile images, artwork, metadata, music videos, social media links, podcast-related placements, public directory listings, private directory listings, gaming-related placements, playlist-style displays, editorial selections, genre pages, homepage sections, search pages, blog articles, email promotions, social media posts, paid advertising, internal recommendations, partner pages, third-party embeds, future applications, future games, future directories, and any other promotional format or distribution method that the Podcast Network may create, acquire, test, license, operate, or participate in. This promotional discretion includes the right to decide what to promote, when to promote it, where to promote it, how long to promote it, what format to use, what visual presentation to use, what link to show, what artwork to display, what title or description to use, what genre or category to assign, what profile fields to display, what call-to-action to include, and whether any specific song, artist, image, video, MP3, streaming link, or social media link should receive more, less, equal, temporary, experimental, or no promotional emphasis.

The Submitter further agrees that the Podcast Network may change the rules, methods, criteria, formulas, order, visibility, placement, eligibility, design, organization, navigation, sorting, ranking, categorization, search treatment, directory treatment, social media treatment, gaming treatment, genre treatment, paid-plan treatment, free-plan treatment, and overall promotional treatment of music listings at any time and for any reason. Music may appear in one genre, multiple genres, a different genre than originally selected, a homepage section, an internal directory, a public artist page, a social post, a gaming-related feature, a podcast-related feature, a streaming-link feature, or no special feature at all. The Podcast Network may use manual editorial judgment, automated systems, popularity signals, account levels, payment plans, account activity, search relevance, visitor behavior, testing needs, advertiser suitability, legal risk, platform quality, technical limitations, or any other factor it considers appropriate. No Submitter receives a vested right, property interest, contractual entitlement, reliance interest, or guaranteed continuing benefit in any specific listing order, genre placement, web page, URL, design, directory position, promotional rule, promotional feature, or promotional method.

To the maximum extent permitted by law, the Submitter waives any claim based on changes to the service, changes to promotional rules, changes to listing placement, changes to directory order, changes to genre classification, changes to social media use, changes to gaming-related exposure, changes to MP3 promotion, changes to streaming platform link promotion, changes to artist profile visibility, changes to website design, changes to account level benefits, changes to paid or free plan features, changes to search placement, changes to advertising methods, changes to internal business priorities, or changes to any other matter related to promotion. The Submitter agrees that the Podcast Network's decision to promote, not promote, reduce promotion, increase promotion, move, reclassify, hide, remove, edit, redesign, relabel, reorganize, or otherwise alter any listing or promotional element shall not create a refund obligation, damages claim, chargeback right, cancellation penalty, or legal claim against the Podcast Network.

1E. No Affiliation With Third-Party Music, Media, Video, or Social Platforms

The Submitter understands, acknowledges, and agrees that the Podcast Network, AI Podcast Network, and VerseCove are independent promotional services and are not affiliated with, sponsored by, endorsed by, approved by, authorized by, controlled by, owned by, operated by, licensed by, or officially connected to any specific record company, record label, music publisher, music producer, artist management company, talent agency, distributor, aggregator, streaming media company, streaming music platform, video platform, social network, search engine, playlist company, podcast platform, advertising network, payment processor, AI music generation platform, or other third-party media or technology company unless expressly stated in a written agreement signed by the Podcast Network. References to Spotify, Apple Music, YouTube, TikTok, Instagram, Facebook, Suno, SoundCloud, Amazon Music, Pandora, Deezer, PayPal, or any other third-party name, logo, service, platform, or brand are provided only for identification, linking, descriptive, nominative, compatibility, or user-submitted promotional purposes and do not imply any partnership, endorsement, sponsorship, agency relationship, reseller relationship, playlist relationship, distribution relationship, record-label relationship, or formal commercial relationship.

The Podcast Network does not speak for, represent, bind, control, manage, influence, or act on behalf of any record company, producer, streaming service, social platform, video platform, search engine, AI platform, payment processor, or other third party. The Podcast Network cannot promise that any third-party platform will accept content, keep content available, promote content, rank content favorably, monetize content, display content correctly, keep links active, maintain embeds, preserve follower counts, preserve analytics, preserve playlist positions, preserve video availability, preserve search rankings, or continue offering the same features. Any Submitter who uses third-party links, logos, embeds, profiles, pages, usernames, artist pages, streaming links, video links, social media links, payment systems, or related services does so subject to that third party's own terms, policies, algorithms, technical limits, moderation decisions, and business decisions.

1F. Right to Change Terms and Conditions at Any Time

The Podcast Network reserves the unrestricted right, in its sole and absolute discretion, to change, amend, revise, expand, reduce, reorganize, replace, restate, update, interpret, or otherwise modify these Terms and Conditions at any time, for any reason, with or without advance notice, and with or without separately contacting any individual user, artist, Submitter, subscriber, account holder, visitor, or paying customer. Changes may be made because of legal developments, copyright concerns, AI technology changes, music industry changes, streaming platform changes, video platform changes, payment processor requirements, advertiser concerns, hosting requirements, business decisions, operational needs, new features, removed features, new promotional methods, pricing changes, account security concerns, abuse prevention, marketplace changes, directory growth, genre changes, ranking changes, or any other reason the Podcast Network considers appropriate.

Users, Submitters, artists, and account holders are responsible for reviewing the Terms and Conditions periodically and before continuing to use the service, submitting new music, maintaining listings, paying for plans, uploading artwork, adding artist profile information, adding links, using the portal, or relying on any promotional feature. Continued access to the website, continued account use, continued listing of music, continued payment, continued submission of links, continued use of promotional tools, continued use of artist pages, or continued participation in VerseCove after any change constitutes acceptance of the changed Terms and Conditions. If a user does not agree with any updated term, the user's sole remedy is to stop using the service, cancel future payments through the applicable payment processor, and request removal of applicable listings, subject to the no-refund provisions stated in this Agreement.

The Submitter agrees that the Podcast Network is not required to preserve prior versions of these Terms and Conditions for the Submitter's benefit, is not required to obtain a new handwritten signature or separate written consent for every update, and is not required to delay enforcement of updated terms unless required by applicable law. The Podcast Network may apply updated terms to existing accounts, existing listings, existing artist pages, existing paid plans, existing submissions, existing links, existing artwork, and existing promotional placements to the fullest extent permitted by law. The Submitter waives any claim that a change is unenforceable merely because the Submitter did not read it, did not receive a separate email notice, did not log in during the update period, did not notice a website change, or preferred an earlier version of the Terms and Conditions.

1C. Music File Ownership, MP3 Files, and Future Format Changes

The Podcast Network does not claim ownership of the Submitter's MP3 files, sound recordings, masters, stems, project files, lyrics, melodies, compositions, artwork, or related intellectual property solely because the Submitter uploads, links, lists, or promotes music through the Podsafe VerseCove. Ownership of the underlying music remains with the Submitter or the applicable rights holder, subject to any rights, licenses, agreements, platform terms, AI tool terms, label agreements, distributor agreements, publishing agreements, or third-party rights that may apply outside of this Agreement.

The Submitter grants the Podcast Network the limited rights described in this Agreement to display, promote, embed, link to, organize, describe, resize, transcode for technical display, or otherwise present submitted music-related materials for promotional purposes. This does not transfer ownership of the MP3 or any other audio format to the Podcast Network. The Podcast Network may store references, metadata, artwork, links, and promotional information, and may also store or process audio files if the platform later supports such features, but such storage or processing does not create ownership in favor of the Podcast Network.

The Podcast Network may change supported file formats, audio formats, artwork formats, preview methods, embed methods, streaming methods, download methods, or linking methods at any time. The platform may currently reference MP3 files or external music links and may later support or require other formats, including but not limited to WAV, FLAC, AAC, M4A, OGG, WEBM, embedded players, third-party streaming links, short previews, watermarked files, or other media technologies. The Submitter agrees that format changes, technical conversions, display changes, link changes, or removal of support for any format do not create a refund right, damages claim, or guarantee of continued availability in any specific format.

2. Submission Review and Acceptance

All music submissions are subject to review by the Podcast Network, submission does not guarantee acceptance, listing, promotion, or playback, and the Podcast Network reserves the sole and absolute discretion to approve, reject, suspend, or remove any submission at any time, with or without notice, for any reason including quality standards, legal risk, suspected copyright issues, misrepresentation, or platform policy considerations, and no feedback or explanation is required.

3. Representations and Warranties of the Submitter

The Submitter represents and warrants that they are the sole owner or authorized rights holder of the submitted AI-generated music, that the music does not infringe any copyright, trademark, moral right, or intellectual property right, that the music was generated in compliance with the terms of the AI tools used, that no copyrighted melodies, lyrics, sound recordings, or protected works were knowingly copied or derived, and that all submission information provided is accurate and truthful, and the Submitter assumes full legal responsibility for the submitted content.

3A. Prohibited Copyright, Voice, Likeness, and Artwork Content

No submitted music may violate copyrighted material owned or controlled by established artists, songwriters, publishers, labels, producers, performers, or other rights holders. Music that copies, imitates, clones, or is intended to sound like the protected voice, vocal likeness, performance style, identity, or persona of an established artist without authorization is not allowed. The Submitter also represents that any music artwork, cover art, artist image, logo, design, promotional image, or visual asset submitted to the platform does not infringe trademarks, registered logos, copyrighted artwork, brand identity, album artwork, artist likeness, or any established artist presence or intellectual property.

The Submitter may not submit music, artwork, artist names, images, descriptions, metadata, tags, videos, promotional text, or links that falsely imply affiliation with, endorsement by, sponsorship by, approval from, or participation of an established artist, record label, brand, platform, celebrity, public figure, publisher, composer, songwriter, performer, or rights holder. The Submitter may not use an artist name, stage name, likeness, vocal model, logo, album-art style, trade dress, or other identifying feature in a way that is likely to confuse visitors, podcasters, streaming platforms, advertisers, or the public.

The Submitter is solely responsible for understanding and following the laws and platform rules that apply to AI-generated vocals, AI voice models, vocal cloning, style imitation, sample use, interpolation, remixing, cover recordings, sound-alike recordings, public figure likeness, synthetic media, trademarks, publicity rights, privacy rights, and copyright ownership. The Podcast Network is not responsible for investigating every submission before display and may rely on the Submitter's representations, but the Podcast Network may remove any material that it believes may create legal, ethical, reputational, platform, or business risk.

3B. Removal for Rights or Policy Violations

If the Podcast Network determines, in its sole discretion, that submitted music, artwork, metadata, links, artist information, or account activity violates these Terms and Conditions, creates legal risk, misuses copyrighted or trademarked material, imitates established artists, or otherwise presents a rights concern, the Podcast Network may remove the music, remove related pages, block the account, suspend the account, or permanently delete the account without notice. In that event, no refunds will be provided for monthly fees, yearly fees, promotional fees, or any other amounts already paid to the Podcast Network.

Music, artwork, artist profiles, descriptions, links, or other submitted materials may also be removed without refund if they contain material that the Podcast Network considers negative, harmful, misleading, hateful, harassing, defamatory, obscene, pornographic, violent, threatening, discriminatory, exploitative, spam-like, fraudulent, malicious, deceptive, politically inflammatory, damaging to the network's brand, unsuitable for podcasters, unsuitable for advertisers, unsuitable for public display, or otherwise inconsistent with the goals of the platform. This includes content that may not clearly violate copyright law but still creates reputational risk, user complaints, advertiser concerns, platform concerns, or visitor trust concerns.

If a submission is reported by a rights holder, artist, visitor, user, podcaster, platform, advertiser, payment processor, hosting provider, search engine, or any other third party, the Podcast Network may remove, hide, suspend, downgrade, investigate, or restrict the submitted content while reviewing the report. The Podcast Network is not required to prove that a report is legally valid before taking temporary or permanent action, and the Submitter agrees that the Podcast Network may act conservatively to protect the website, users, visitors, advertisers, partners, payment systems, hosting accounts, and business operations.

4. License Grant

The Submitter grants the Podcast Network a non-exclusive, worldwide, royalty-free, sublicensable license to distribute the music to podcasters, permit playback on podcasts, display metadata, artwork, and artist information, and promote the music within the Podcast Network ecosystem, and this license remains in effect unless the content is removed by the Podcast Network.

5. Premium Plans and Paid Listings

The Podcast Network may offer optional premium plans that provide enhanced visibility, directory placement, promotional exposure, or additional platform features, however premium plans do not guarantee music playback, podcast placement, or exposure, and the Podcast Network reserves the unrestricted right to modify, add, remove, suspend, or redefine premium plan benefits at any time, with or without notice, at its sole discretion.

5A. Website Ownership, Platform Changes, and Promotional Rules

The Podcast Network retains complete ownership and control of all website pages, layouts, databases, directories, listings, promotional systems, software, features, design, copy, ranking methods, internal tools, and platform structure. The Podcast Network reserves the right to change the website at any time, change the rules of promotion, add or remove features, alter directory placement, modify artist profile presentation, change link visibility, adjust paid-plan benefits, or make any other changes that may increase, reduce, or otherwise affect a Submitter's exposure, traffic, results, or promotional value.

The Submitter understands that no current layout, artist page, directory section, genre page, menu item, search result, profile feature, badge, button, social sharing feature, ranking method, pricing plan, promotional rule, or exposure method is permanent. The Podcast Network may redesign pages, merge directories, separate directories, remove sections, change navigation, change search behavior, adjust profile fields, alter image sizes, replace embedded players with links, replace links with embedded players, change the way music is sorted, add new paid features, remove old paid features, change free-plan limits, or modify how artist information is displayed without creating any refund obligation or liability.

The Podcast Network may add new features that affect visibility, including but not limited to analytics, artist levels, featured listings, paid upgrades, editorial selections, trending lists, popularity indicators, genre pages, search filters, email promotions, social sharing, video listings, podcast-targeted placements, AI-generated recommendations, or third-party integrations. Such changes may help some artists more than others, may reduce the relative exposure of existing listings, and may change the practical value of prior promotional placements. The Submitter accepts that platform evolution is part of using the service.

5B. Genre Classification and Reclassification

The Submitter may choose or suggest a genre when submitting music, but the Podcast Network is not required to preserve that genre classification forever. Genres may be added, removed, renamed, combined, split, reorganized, or redefined as the directory grows. The Podcast Network may move a song into a different genre, add secondary genres, remove inaccurate genres, normalize genre names, change capitalization, change spelling, change genre hierarchy, or place the same song in multiple genre-related areas if the Podcast Network believes doing so improves organization, searchability, visitor experience, advertiser suitability, podcaster discovery, or platform quality.

The Submitter understands that genre classification is subjective and may differ between artists, fans, podcasters, streaming services, AI tools, and the Podcast Network. A song originally classified as Rock, Pop, Jazz, House, R&B, Metal, Ambient, Electronic, Experimental, Country, Hip Hop, Classical, Soundtrack, or any other category may later be moved or relabeled. Genre changes do not constitute a breach of this Agreement, do not guarantee better placement or worse placement, and do not create any right to a refund, credit, or damages.

5C. Directory Order, Ranking, Sorting, and Visibility

The order of music, artists, songs, profiles, links, images, search results, genre listings, featured sections, and directory results may change at any time for any reason. The Podcast Network may sort or display music by newest submissions, oldest submissions, alphabetical order, artist name, song title, genre, popularity, clicks, views, logins, account activity, account status, verification status, artist level, paid plan, editorial choice, internal quality standards, manual review, random rotation, platform testing, seasonal promotion, search relevance, user behavior, or any other method selected by the Podcast Network.

No Submitter is guaranteed any fixed position, permanent ranking, permanent placement, permanent featured status, permanent search visibility, permanent genre placement, permanent homepage placement, or permanent order within VerseCove. Paid plans may affect visibility, but paid plans do not guarantee a specific rank, a specific number of impressions, a specific number of clicks, or a specific position above or below any other artist. The Podcast Network may test different ordering methods to improve visitor engagement, directory quality, search behavior, podcaster discovery, advertising performance, or business operations, and those changes may affect the Submitter's exposure positively, negatively, or not at all.

6. No Guarantee of Playback, Promotion, or Podcast Placement

The Podcast Network makes no promises, representations, or guarantees that any submitted music, whether free or paid, will be played, downloaded, featured, or used by any podcaster, and while the Podcast Network will make commercially reasonable best efforts to make submitted music discoverable through its directory and tools, it does not control or represent podcasters, does not act as their agent, does not promise that any specific podcast will play any song, and does not promote or favor any specific genre, style, theme, or type of music, as all music selection decisions are made independently by podcasters.

The Submitter acknowledges that even when the Podcast Network displays a song, artist profile, streaming link, image, video link, or promotional listing, the Podcast Network cannot force any person to listen, watch, follow, download, share, save, playlist, subscribe, comment, purchase, license, interview, feature, review, or otherwise engage with the Submitter's music. The Podcast Network may provide exposure opportunities, but exposure is not the same as a guaranteed outcome, guaranteed audience, guaranteed conversion, guaranteed listener, guaranteed play, guaranteed subscriber, or guaranteed commercial result.

6A. Video Promotion and Third-Party Video Platforms

The Podcast Network may now or in the future permit artists to submit, list, embed, link to, or promote music videos, lyric videos, visualizers, short-form videos, behind-the-scenes videos, performance videos, AI-generated videos, YouTube videos, TikTok videos, Instagram Reels, Facebook videos, or other video-related promotional materials. Any such video promotion is provided only as a visibility and linking feature. The Podcast Network does not guarantee YouTube views, YouTube subscribers, watch time, video downloads, video embeds, comments, likes, shares, playlist additions, channel growth, monetization, ad revenue, search ranking, recommendations, Shorts placement, social media followers, or any other video-platform result.

The Submitter remains solely responsible for making sure that any video, thumbnail, title, description, tag, caption, lyric, visual asset, person, location, logo, brand, artwork, clip, sample, stock footage, AI-generated visual, voice, likeness, or third-party material used in a video is lawful and properly authorized. The Podcast Network may remove video links or related materials if a video is reported, removed by a third-party platform, age-restricted, made private, blocked by region, associated with copyright claims, associated with trademark concerns, associated with impersonation, or otherwise considered unsuitable by the Podcast Network.

The Submitter understands that third-party video platforms may change their rules, embed policies, monetization rules, search algorithms, recommendation systems, copyright policies, community guidelines, and account rules at any time. The Podcast Network is not responsible if YouTube, TikTok, Instagram, Facebook, Vimeo, Rumble, or any other platform removes, demotes, demonetizes, blocks, restricts, flags, disables, or changes access to the Submitter's video. The Podcast Network also does not guarantee that embedded videos will load properly on all devices, browsers, regions, or networks.

6B. Account Confidentiality, Password Sharing, and Account Security

Each user account is for the registered user or authorized business entity only. The Submitter is responsible for keeping usernames, passwords, email access, account access, reset links, verification links, payment processor access, and related login information confidential and secure. Usernames and passwords may not be sold, rented, publicly posted, transferred, shared among unrelated people, reused by multiple artists unless authorized by the account owner, or used in any way that misrepresents who controls the account.

Any account sharing, password sharing, unauthorized access, credential abuse, automated login abuse, suspicious account activity, impersonation, fraudulent registration, or use of another person's account may result in immediate suspension, removal of music, removal of artist pages, cancellation of promotional benefits, blocking of future registrations, and permanent account termination. If the Podcast Network believes an account has been compromised or shared improperly, it may require a password reset, email verification, identity confirmation, or other steps before restoring access, and it may refuse restoration if the risk is too high.

The Podcast Network will not intentionally sell, rent, or share a user's personal login information or private account credentials with unrelated third parties for their independent marketing use. However, the user is responsible for protecting their own account access, and the Podcast Network is not responsible for losses caused by the user's own password sharing, weak passwords, reuse of compromised passwords, failure to secure email accounts, failure to log out of shared devices, or failure to cancel unauthorized payment processor access.

7. No Music Publishing, Label, or Rights Administration Relationship

No music publishing, record label, management, agency, fiduciary, or rights-administration relationship is created by this Agreement, the Podcast Network does not own submitted music, does not administer copyrights, does not collect or distribute royalties, and does not register works with ASCAP, BMI, SESAC, SoundExchange, or similar organizations, all rights and obligations remain solely with the Submitter, and the Submitter irrevocably waives any present or future claim alleging an implied publishing, label, or rights-administration relationship.

8. Copyright Liability and Indemnification

The Submitter agrees that the Podcast Network is not responsible for any copyright or intellectual property claims arising from submitted music and agrees to indemnify, defend, and hold harmless the Podcast Network and its owners, officers, employees, contractors, affiliates, and partners from any claims, damages, losses, liabilities, legal fees, or expenses arising from copyright infringement allegations, ownership disputes, misrepresentation of rights, or violations of law related to the submitted content.

9. DMCA Copyright Policy and Safe Harbor

The Podcast Network complies with the Digital Millennium Copyright Act (DMCA), and upon receipt of a valid DMCA notice may remove or disable access to allegedly infringing material without prior notice, may maintain and enforce a repeat-infringer policy including permanent account termination, is not obligated to restore content following a counter-notification, and implements this policy to preserve safe harbor protections under applicable law.

10. Takedown Policy and No Refunds

If submitted music is removed due to legal risk, copyright concerns, DMCA notices, or policy violations, removal is immediate, no refunds, credits, or prorations will be issued including for paid premium plans, all premium fees are forfeited, and the Submitter waives all refund claims related to takedowns.

Takedowns may apply to a single song, multiple songs, an artist profile, artwork, videos, links, genre placements, directory entries, promotional pages, account features, or the entire account. A takedown may be temporary while the Podcast Network reviews a report, or it may be permanent if the Podcast Network determines that the content should not return to the platform. The Podcast Network is not required to provide advance warning, a cure period, a detailed legal analysis, or an appeal process before removing content that it believes may violate these Terms and Conditions or create risk.

If artwork or music is removed because it contains negative material, is reported by a visitor or third party, contains suspected infringement, contains prohibited imagery, contains misleading branding, imitates an established artist, uses unauthorized logos, includes offensive or harmful themes, or otherwise conflicts with the platform's standards, the Submitter remains responsible for all fees already paid. Removal does not pause, reverse, refund, or prorate prior payments unless the Podcast Network decides otherwise in writing at its sole discretion.

11. Payments, Chargebacks, and PayPal Disputes

All payments made to the Podcast Network, including those processed through PayPal, Stripe, or any other payment processor, are final and non-refundable except where required by law, the Submitter agrees not to initiate chargebacks or payment disputes based on dissatisfaction with exposure, playback, directory placement, or results, and any chargeback constitutes a material breach of this Agreement and may result in immediate account termination, content removal, and liability for all chargeback fees, penalties, administrative costs, and related expenses.

11A. Monthly and Yearly Subscription Cancellation

Users with monthly paid plans may cancel at any time, however no refunds will be provided for monthly fees already paid. Instead, the monthly service will continue until the end of the current paid 30-day billing period. Users with yearly paid plans may cancel at any time, however no refunds or prorated refunds will be issued for partial years. Instead, the user will continue to have access to the paid yearly service until the end of the current paid yearly term.

11B. Automatic Payments and Payment Processor Responsibility

For automatic payments, subscriptions, recurring payments, or payment agreements processed through PayPal or any related third-party payment processor, the user is solely responsible for managing, canceling, discontinuing, or stopping future payments through that payment processor. The Podcast Network is not responsible for a user's failure to cancel a recurring payment, subscription, billing agreement, automatic payment, or similar payment authorization through PayPal or any other payment processor.

12. Limitation of Liability

To the fullest extent permitted by law, the Podcast Network shall not be liable for indirect, incidental, consequential, speculative, or punitive damages including lost profits, exposure, or promotional value, and total liability, if any, shall not exceed the amount paid by the Submitter to the Podcast Network in the twelve months preceding the claim.

13. Waiver of Legal Action

The Submitter agrees not to initiate or participate in any legal action against the Podcast Network arising from music distribution, podcast playback decisions, directory inclusion, or copyright claims resulting from the Submitter’s own content.

14. New Jersey Consumer & Platform Disclaimer

The Podcast Network provides a platform-based service only, makes no guarantees of success, exposure, revenue, or outcomes under New Jersey law, participation is voluntary and undertaken at the Submitter’s own risk, and nothing in this Agreement shall be construed as deceptive, misleading, unconscionable, or in violation of the New Jersey Consumer Fraud Act (N.J.S.A. 56:8-1 et seq.).

15. Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to conflict-of-law principles, and all disputes shall be resolved exclusively in state or federal courts located within New Jersey.

16. Independent Contractor Relationship

Nothing in this Agreement shall be deemed to create any partnership, joint venture, employment, agency, fiduciary, or representative relationship between the Submitter and the Podcast Network.

17. Class Action Waiver

To the fullest extent permitted by law, the Submitter agrees that any dispute must be brought on an individual basis only and waives the right to participate in any class, collective, or representative action.

18. Attorneys’ Fees

In any action to enforce this Agreement, the prevailing party shall be entitled to recover reasonable attorneys’ fees and costs.

19. Severability

If any provision of this Agreement is held unenforceable under applicable law, such provision shall be severed and the remaining provisions shall remain in full force and effect.

20. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications, representations, negotiations, or understandings, whether written or oral.

The Submitter agrees that no oral statement, informal message, email comment, social media reply, advertisement, sales description, pricing page, feature list, or promotional statement changes these Terms and Conditions unless the Podcast Network expressly updates the written Terms and Conditions or signs a separate written agreement. If any part of the website describes a feature, benefit, plan, placement, listing, or promotional opportunity in shorter or more general language, that description must be read together with these more detailed Terms and Conditions and does not override the limitations, disclaimers, removal rights, payment terms, account rules, and no-guarantee provisions stated here.

21. Acceptance and Electronic Signature

By submitting AI-generated music to the Podsafe VerseCove, the Submitter electronically signs and agrees to be legally bound by this Agreement.

Acceptance may occur by registering an account, submitting a song, uploading artwork, adding an artist profile, providing links, paying for a plan, clicking a checkbox, verifying an email address, logging into the artist portal, continuing to use the website, or otherwise providing materials to be displayed or promoted. The Submitter agrees that electronic acceptance has the same legal effect as a handwritten signature and that continued use of the platform after changes to the Terms and Conditions constitutes acceptance of the updated terms.
